BOARD MEMBERS – FAR NORTH HOLDINGS LIMITED The Far North District Council (FNDC) is seeking applications from persons who are interested in filling one or more vacancies on the Board of Far North Holdings Ltd (FNHL). Far North Holdings is the commercial trading and asset management arm of FNDC and a Council Controlled Trading Organisation (CCTO). It manages a diverse range of property, maritime and aviation assets right across the district on behalf of Far North ratepayers. FNHL is evolving from a property development and asset management business into a group holdings company. The Board is seeking directors with the skills to identify and act on the commercial opportunities that will enable this transition, in a local government environment undergoing significant reform. A high standard of personal integrity. Independence of mind and the willingness to challenge constructively. Clear communication skills and an ability to debate in a reasoned manner. The ability to build and maintain relationships. Effective teamwork and collaboration. Ability to think strategically. Risk assessment and contingency management. Commitment to the principles of good corporate citizenship. Understanding of the wider interests of the Council, as a publicly accountable shareholder. The Council is particularly seeking candidates with strength in one or more of the following priority areas, which reflect the Board’s approved skills matrix: Group holdings governance, including experience overseeing or designing parent and subsidiary structures, setting performance frameworks and allocating capital across a group. Commercial acumen and deal origination, including experience in capital markets and corporate finance, mergers and acquisitions, and the structuring of joint ventures with public, private and iwi partners. Experience leading an organisation through a material change in scale, scope or operating model. Financial governance, including treasury, capital structure, dividend sustainability and disciplined capital allocation. Experience navigating structural change in the public sector, including local government reform, while maintaining strategic direction. Previous experience as a board chair or committee chair. This appointment may suit a candidate with the capability to be considered for the role of Chair in the future. Key criteria for selection also include: Prior experience as a board member, or senior executive, preferably in the commercial or public sector. Understanding of the impact of a CCTO on local communities and the ability to balance commercial performance with public needs. Strong awareness of council’s strategic priorities and regulatory framework, ensuring the CCTO operates in line with its broader objectives. Demonstrated connection to the Far North, strong affiliations and understanding of our communities and region Understanding of the principles of Te Tiriti o Waitangi and awareness of Māori economic development and cultural values. Experience in working with iwi and hapū, ensuring meaningful partnerships and co-governance where applicable. A strong understanding of the district’s unique characteristics, challenges, and opportunities, including its economy, infrastructure, and community needs. Directors are normally appointed for a three-year term and following an assessment of their performance over this period a further three-year appointment will be considered. Appointments are made by the Council under its policy for the appointment and remuneration of directors, adopted under section 57 of the Local Government Act 2002. An appointment panel will assess applications against the Board’s skills matrix, and shortlisted candidates will be invited to interview.
